Terms and Conditions

2. Introduction

Trap Insights L.L.C-FZ (Trade License No. 2526680.01), with its registered office at Meydan Grandstand, 6th Floor, Meydan Road, Nad Al Sheba, Dubai, U.A.E. ("Trap Insights"), provides advanced, technology-driven pest management solutions to commercial, municipal, and institutional clients across the United Arab Emirates.

Trap Insights is an intelligent IoT-based pest control platform that combines sensor equipped smart traps with real-time cloud analytics. Each rodent capture is instantly logged and geo-mapped to a live dashboard, enabling clients to monitor and manage infestations with precision and immediacy. The system may be deployed either as a supplement to the Client's existing pest management program or as a standalone monitoring and control solution.

These Terms and Conditions govern all purchases, leases, subscriptions, and use of Trap Insights’ equipment, software, and services, and shall apply to any Customer or Client.

4. Engagement Models

Trap Insights offers two commercial engagement models:

(a) Buy and Subscribe (CapEx + SaaS) – the Client acquires the hardware upon full payment, while the software, dashboard, and data analytics remain subscription based; and

(b) All-Inclusive Lease (OpEx Bundle) – The Client pays a recurring monthly fee covering hardware usage, connectivity, support, maintenance, and warranty; the hardware remains the property of Trap Insights.

5. Equipment Ownership and Responsibility

Title to Equipment passes to the Client only upon full payment under the Buy and Subscribe model. In the case of leased Equipment under the All-Inclusive Lease model, title remains with Trap Insights. The Client is responsible for the care, custody, and safeguarding of all Equipment deployed at its premises. Any theft, misuse, or damage must be promptly reported. The Client shall bear liability for repair or replacement costs where fault lies with the Client.

6. Access to Software and Data

Access to the dashboard is granted under a limited, revocable, non-transferable license. The Client agrees not to reverse engineer, sublicense, or interfere with the platform. Use of the dashboard must comply with all applicable laws, and credentials must remain confidential. Trap Insights reserves the right to revoke access in the event of breach or misuse.

7. Service Limitations

While Trap Insights employs reasonable commercial efforts to monitor and reduce rodent activity, no service can guarantee complete elimination. The Client acknowledges that pest populations are influenced by external and environmental conditions beyond the control of Trap Insights. The effectiveness of the services provided is contingent upon the Client's ongoing cooperation, which includes timely access to premises, implementation of operational recommendations, and adherence to the usage guidelines provided by Trap Insights. Specific deliverables, performance expectations, and service levels may be further defined in a separate SLA, which shall be deemed incorporated by reference into these Terms and Conditions where applicable.

8. Quotations

All quotations provided by Trap Insights are valid for the period stated therein. Acceptance of any quotation by the Client constitutes acceptance of these Terms and Conditions unless otherwise specified in writing.

9. Orders, Payment, and Invoicing

All orders are subject to acceptance by Trap Insights. Fees, billing cycles, and accepted payment methods will be stated in the relevant quotation or SLA. Prices are listed in AED and exclusive of VAT unless otherwise specified. Late payments shall bear interest at the rate specified in any additional agreements, if none is specified, at maximum rate permissible under UAE Law. Trap Insights reserve the right to suspend Services in the event of late or non payment.

10. Term and Termination

The contract shall run for the duration stated in the applicable SLA or order form and may be renewed automatically unless terminated with appropriate notice. Trap Insights reserves the right to terminate the Agreement immediately in cases of material breach, insolvency, or misuse. On termination, the Client must return or permit retrieval of leased Equipment. Outstanding charges become immediately payable.

11. Intellectual Property

All intellectual property rights in the Equipment, dashboard software, reports, and analytics tools remain with Trap Insights or its licensors. The Client is granted only a limited right to use such materials for its internal business purposes. Any unauthorized use, copying, or distribution is prohibited and may result in legal action.

12. Confidentiality and Data Protection

The Client agrees to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of the Agreement. The Client shall not disclose such information to any third party without prior written consent, except as required by law or to professional advisers who are bound by confidentiality obligations.

Trap Insights shall comply with all applicable UAE data protection regulations, including Federal Decree Law No. 45 of 2021. Trap Insights processes personal data in accordance with its Privacy Policy, which is incorporated by reference into these Terms and Conditions and available at [insert privacy policy URL]. Clients are encouraged to review the Privacy Policy for further details on data collection, processing, storage, and rights under applicable law.

13. Warranties and Repairs

Trap Insights warrants that Equipment will conform to applicable specifications and be free from defects under normal use. For Clients who purchase Equipment under the Buy and Subscribe model, Trap Insights provides a warranty period of twelve (12) months from the date of delivery. During this period, any defect arising from normal and intended use will be repaired or replaced at no additional cost to the Client. This warranty does not apply to damage caused by misuse, unauthorized modifications, improper installation, physical impact, or negligence.

For Clients leasing Equipment under the All-Inclusive Lease model, Trap Insights will maintain and replace faulty Equipment for the entire duration of the lease term. All necessary maintenance and repairs are included in the monthly fee. However, the Client will be held responsible for any damage, loss, or theft that occurs as a result of negligence or intentional misuse. In such cases, the cost of repair or replacement may be invoiced separately.

To claim under warranty, the Client must notify Trap Insights in writing with a clear description of the issue, and if requested, allow physical inspection or return of the affected Equipment. Trap Insights will assess the claim and respond with a suitable remedy, which may include repair, replacement, or service credit.

14. Limitation of Liability and Indemnity

TRAP INSIGHTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, PERSONAL INJURY OR PROPERTY DAMAGE RELATED TO, IN CONNECTION WITH, OR OTHERWISE RESULTING FROM ANY USE OF THE SERVICES, EVEN IF TRAP INSIGHTS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

YOU AGREE TO INDEMNIFY AND HOLD TRAP INSIGHTS AND ITS OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS HARMLESS FROM ANY AND ALL CLAIMS, DEMANDS, LOSSES, LIABILITIES, AND EXPENSES (INCLUDING ATTORNEYS' FEES) ARISING OUT OF OR IN CONNECTION WITH: (I) YOUR USE OF THE SERVICES; (II) YOUR BREACH OR VIOLATION OF ANY OF THESE TERMS; (III) TRAP INSIGHTS USE OF YOUR USER CONTENT; OR (IV) YOUR VIOLATION OF THE RIGHTS OF ANY THIRD PARTY, INCLUDING THIRD PARTY PROVIDERS AND OTHER USERS.

15. Force Majeure

Trap Insights shall not be liable for delays or failure to perform its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, labour disputes, pandemics, epidemics, governmental actions, or internet outages.

16. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Emirate of Dubai and the laws of the United Arab Emirates as applicable in the Emirate of Dubai. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the competent courts of the Emirate of Dubai, unless otherwise agreed in writing between the parties.

17. Notices

All legal or formal communications shall be made in writing and delivered via email with receipt confirmation, registered mail, or courier to the address specified in the service agreement or latest correspondence.

18. Miscellaneous

If any provision of these Terms and Conditions is held invalid, the remaining provisions shall continue in full force. No failure or delay in enforcing any provision shall be deemed a waiver of such rights.

The Agreement constitutes the entire understanding between the parties and supersedes all prior discussions or representations. Trap Insights may assign or transfer its rights without restriction. The Client may not assign the Agreement without prior written consent of Trap Insights.
